Terms of Service

1. Definitions
Scoop — Scoop [registered company name TBD] Ltd, a company registered in England and Wales (company number [TBD], registered office [TBD]), operator of the platform. Platform — the Scoop website, management applications, order pages and APIs. Restaurant — the professional user holding an account. Customer — the consumer placing an order on a restaurant's order page. Order Page — the storefront generated by the platform for a restaurant. Stripe — the third-party payment processor. Courier Network — a third-party delivery dispatch service connected by the restaurant (e.g. Uber Direct).
2. What Scoop is
Scoop is a software service (SaaS) that lets independent restaurants publish their menu, take Click & Collect and delivery orders on their own order page, accept payment online via Stripe (or cash on collection/delivery), dispatch deliveries with their own drivers or a connected courier network, manage orders from a management app, and benefit from technical SEO optimisation. Scoop is not a marketplace: it charges a fixed monthly subscription, takes no commission on sales, and is not an intermediary between the restaurant and its customers.
3. Scope and acceptance
These terms apply to restaurants creating an account (including during the free trial) and to customers using an order page. Restaurants accept them at sign-up; customers accept them when confirming an order. They form the entire agreement and supersede prior communications. If you do not accept them, do not use the platform.
4. Access to the platform
The platform is available 24/7 except during maintenance (section 17). You need an internet connection and a modern browser (Chrome, Firefox, Safari, Edge); your equipment and connectivity are your own responsibility.
5. Registration and restaurant account
- Eligibility. Accounts are for legally capable adults or duly constituted legal entities operating a lawful food business with all required authorisations (food hygiene registration, licences, insurance).
- Accuracy. You must provide accurate, complete, current information and keep it updated. Scoop may request supporting documents and suspend accounts with inaccurate or fraudulent information.
- Credentials. You are solely responsible for keeping your login details confidential; activity on your account is presumed to be yours. Report suspected unauthorised use immediately.
- One account per establishment. Duplicate accounts for the same establishment may be suspended.
- Stripe connection.Online payment requires connecting your own Stripe account, under Stripe's own terms. Scoop does not represent Stripe.
6. Subscription and billing
- Price. £89 per month excluding VAT (VAT added where applicable), covering core features, unlimited orders, hosting on a Scoop subdomain and standard support.
- No commission. Scoop charges no commission on your sales. External variable costs (Stripe processing fees, courier network fees) are billed to you directly by those providers.
- Options. Custom domain connection: +£9/month excl. VAT (you keep ownership of your domain). Domain purchase and setup by Scoop: £29 excl. VAT one-off (annual renewals are your responsibility).
- Billing. Monthly on your anniversary date by automatic payment via Stripe. Failed payment triggers a 7-day cure notice; if unresolved, Scoop may suspend or terminate and recover amounts due plus statutory interest and reasonable recovery costs.
- No lock-in. Cancel at any time, effective at the end of the current month. Amounts already invoiced are not refunded, in whole or in part, regardless of use.
- Price changes.Scoop may change prices with 30 days' email notice; you may cancel free of charge before the change takes effect.
7. Platform features
Menu management (categories, products, photos, prices, options, allergens) published to your order page in near real time; Click & Collect with configurable pickup slots; delivery with your own zones, fees and hours, fulfilled by your own drivers or a connected courier network; a management app for live order handling and statistics; automated notifications; automatic ticket printing on compatible thermal printers (choice, purchase, configuration and maintenance of the printer are your responsibility); an order page with technical SEO optimisation — Scoop guarantees no search-ranking results; page customisation (logo, colours, contact details). Scoop may evolve features at any time and will give reasonable notice of significant changes; feature evolution is not grounds for a refund.
8. Online payments via Stripe
- Stripe processes all online payments (card, Apple Pay, Google Pay). Scoop does not process transactions and stores no card data.
- Funds flow directly from the customer to your Stripe account. Scoop never receives them.
- Stripe's processing fees are yours and are billed to you by Stripe.
- Stripe is PCI-DSS Level 1 certified; payment data is collected by Stripe in its secure environment.
- Disputes, chargebacks and refunds are managed by and are the financial responsibility of the restaurant. Scoop is not a party to the transaction.
- Scoop is not liable where Stripe or a bank declines a transaction; a failed payment means an unconfirmed order.
9. Cash payments
You may optionally enable payment in cash on collection or delivery. Cash collection, change, accounting and all related legal and tax obligations (receipts, records, VAT and tax reporting, including Making Tax Digital where applicable) are entirely yours. Scoop is not a certified point-of-sale system and does not guarantee that a cash payment is actually made.
10. Delivery via a courier network
- Scoop offers technical connectors that send a delivery request to your connected courier network (e.g. Uber Direct) when you confirm an order.
- Your use of a courier network is governed by your separate contract with it; Scoop is not a party to it.
- Delivery fees shown at order time are estimates from the network and may differ slightly from the final rate; any difference is borne by the restaurant.
- Scoop is not responsible for the quality, delays or incidents of third-party deliveries; disputes go to the network under its procedures.
- Scoop uses reasonable efforts to keep integrations working but cannot guarantee continuous availability where the network changes its API or terms.
- Courier costs are billed to you directly by the network, separately from your Scoop subscription.
11. Custom domain
By default your order page is hosted on a Scoop subdomain. With the custom domain option you may connect a domain you own; you warrant that it does not infringe third-party rights. Where Scoop purchases a domain for you, the one-off fee covers availability check, purchase and initial DNS configuration; renewals and any premium-domain surcharges are yours. If the option or subscription ends, your page reverts to the Scoop subdomain and you keep your domain.
12. Restaurant obligations
- Information accuracy. You are solely responsible for the accuracy and legality of everything you publish: prices, availability, hours, delivery zones, allergen information, mandatory notices.
- Regulatory compliance. You must comply with all applicable law, including food hygiene and safety, allergen information (including UK food information law and labelling rules for prepacked-for-direct-sale food), consumer law, invoicing, VAT and tax, and alcohol licensing where relevant.
- Lawful content. Published content must be lawful, must not infringe third-party rights, must not be misleading or defamatory, and must not contain malicious code.
- Fair use. No use outside your food business; no circumventing security; no bots, scrapers or unauthorised extraction; no resale or sharing of access; no reverse engineering.
- Customer relationship. You bear full responsibility for your customers: product quality and safety, order fulfilment, cancellations and refunds, complaints and consumer-law compliance.
- Insurance.You warrant that you hold the necessary insurance (public and product liability, and employer's liability where required).
13. Customers
- Order pages are freely accessible; no customer account is required.
- You must provide accurate order information (address, phone); the consequences of errors are yours.
- The sales contract is formed directly between you and the restaurant when it confirms your order. Scoop is not a party to it.
- Under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, the cancellation right does not apply to perishable goods such as prepared food; a confirmed order cannot be unilaterally cancelled.
- Complaints about an order (missing items, quality, delay) go directly to the restaurant.
- Fraudulent, fictitious or automated orders are prohibited and may be reported to the competent authorities.
14. Scoop's role and liability
Scoop is a technical service provider. It does not prepare, store, package or deliver food, does not manage the restaurant–customer relationship, and does not collect sales revenue (other than its own subscription billing). For content published by restaurants, Scoop acts as a hosting provider and has no general monitoring obligation. Scoop's obligations are obligations of reasonable skill and care, not of result.
15. Intellectual property
The platform (code, databases, design, interfaces, logos, trade marks) belongs to Scoop or its licensors. You receive a personal, non-exclusive, non-transferable, revocable licence for the duration of your subscription, solely to run your food business. You keep all rights in your own content and grant Scoop a non-exclusive, worldwide, royalty-free licence, for the duration of the subscription, to host, display, technically adapt and promote it as part of the service. You warrant you hold the necessary rights and indemnify Scoop against third-party claims.
16. Personal data
For restaurant account data, Scoop is the data controller. For customer data processed when fulfilling orders, the restaurant is the controller and Scoop the processor under Article 28 UK GDPR, acting only on the restaurant's instructions. Processing is described in the Privacy Policy, which forms part of these terms.
17. Availability and maintenance
Scoop aims for high availability but does not guarantee uninterrupted, error-free operation. Planned maintenance with significant impact is announced in advance and scheduled outside peak restaurant hours where feasible; emergency maintenance may occur without notice. Scoop performs periodic backups; exporting and archiving your business data is your responsibility.
18. Suspension and termination
- By you. Cancel at any time, penalty-free, effective at the end of the current month. Account data is deleted within 30 days of termination, subject to legal retention obligations.
- Suspension by Scoop. Immediate suspension is possible for security incidents, non-payment after the cure notice, suspected fraud or material breach, or a request from a court or competent authority.
- Termination for cause. Scoop may terminate without indemnity for persistent non-payment, serious or repeated breach, fraudulent use, infringement of third-party rights, or insolvency. Minor breaches get a warning and a reasonable cure period.
- Termination for convenience.Scoop may terminate with 30 days' notice, refunding any prepaid unused amounts pro-rata. If Scoop discontinues the service entirely, restaurants receive at least 60 days' notice and pro-rata refunds.
- Consequences. On termination: access ends, the order page goes offline, you are responsible for exporting your data beforehand, amounts due remain payable, and clauses on IP, confidentiality, indemnity, liability and governing law survive.
19. Warranties and limitation of liability
- The platform is provided “as is”, without warranties beyond those expressly stated or required by law.
- To the maximum extent permitted by law, Scoop is not liable for indirect or consequential loss: lost revenue, profit, opportunity, goodwill, data or reputational harm.
- Except for fraud, wilful misconduct, death or personal injury caused by negligence, or any liability that cannot lawfully be limited, Scoop's total liability in any contract year is capped at the amounts you actually paid for the subscription and options in the three months before the claim.
- Scoop is not liable for harm caused to customers by the restaurant's acts or omissions (food safety, allergens, unfulfilled orders, refunds).
- Claims must be brought within one year of discovery, without exceeding statutory limitation periods.
20. Indemnity
The restaurant indemnifies Scoop, its directors, employees and processors against any third-party or regulatory claim arising from its breach of these terms, unlawful or infringing content, breach of legal, tax or food-safety obligations, customer disputes, courier-network disputes or domain-name disputes — including reasonable legal costs and any damages or settlements.
21. Force majeure
Scoop is not liable for failures caused by events beyond its reasonable control (natural disaster, fire, pandemic, strike, war, terrorism, failures of hosts, telecoms or third-party services such as Stripe, courier networks or registrars, cyber-attacks, government orders). Affected obligations are suspended; if the event lasts more than 60 consecutive days, either party may terminate without indemnity.
22. Changes to these terms
Scoop may amend these terms for legal, technical or commercial reasons, with 15 days' notice by email and on the platform (immediate where required by law or security). If you do not accept a change you may cancel penalty-free before it takes effect; continued use is acceptance. For customers, the terms in force at the time of the order apply.
23. Governing law and disputes
These terms are governed by the law of England and Wales. The parties will first seek an amicable resolution (submit claims via the contact form; 30 days to agree). Failing that, the courts of England and Wales have exclusive jurisdiction, subject to mandatory consumer-protection rules that entitle consumers to bring proceedings in their country of residence. Consumers may also have access to alternative dispute resolution schemes.
24. Reporting unlawful content
Anyone who believes content published on an order page is unlawful may report it via the contact form, giving their details, the content's URL, a description and the legal grounds. Scoop reviews reports of manifestly unlawful content diligently and takes appropriate measures (removal, blocking). Abusive reports may engage the reporter's liability.
25. General
The parties are independent contractors. The restaurant may not assign this agreement without Scoop's written consent; Scoop may assign it in a restructuring, merger or asset sale provided your rights are not substantially diminished. Failure to enforce a provision is not a waiver. If a provision is held invalid, the rest remain in force. Notices may be sent by email to your registered address. Scoop's system records (logs, emails) are admissible evidence between the parties. Each party keeps the other's technical, commercial and financial information confidential.
